1. Introduction
These Terms & Conditions govern access to and use of Projects Library, a software service operated by EU Systems Ltd.

By creating an account, purchasing a subscription or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation.
Projects Library is available to businesses and individual consumers. You must be at least 18 years old to create an account or own a Workspace.
2. The Service
Projects Library provides a private project workspace for organising project-related information, including projects, links, to-dos, discussions, documents, resources, subscriptions, credentials, prompts, Collections and AI-assisted Chat Analysis and search.
Features may develop over time. We may add, change or discontinue features where reasonably necessary, subject to applicable law and any contractual commitments.
3. Accounts and Workspaces
Each customer uses one or more Workspaces. A Workspace is the customer environment in which authorised Users store and organise Workspace Content.
You must provide accurate account information and keep your authentication credentials secure. You are responsible for activity carried out through your account where authorised by you or resulting from your failure to take reasonable account-security precautions.
A User may belong to more than one Workspace.
4. Workspace Administration and Members
Workspaces may contain Workspace Administrators and Members.
Workspace Administrators have elevated authority, including management of users, settings and certain security and sharing functions. Customers are responsible for selecting appropriate Administrators and managing membership and permissions.
Actions taken by an authorised Workspace Administrator within the permissions provided by the Service are treated as actions authorised by the Customer.
5. Free Trial
New eligible Workspaces may receive a 30-day free trial.
No payment card is required to begin the trial. The trial does not automatically become a paid subscription unless the Customer actively purchases a paid plan.
Trial features and allowances may be subject to published limits.
When a trial expires without upgrade, the Workspace enters the post-expiry access period described in section 19.
6. Paid Subscriptions and Pricing
Paid plans may be offered monthly or annually at the prices displayed when the Customer purchases.
Additional Workspace members may incur additional seat charges where applicable.
The applicable price, billing frequency, included allowances and taxes will be shown at checkout or otherwise communicated before purchase.
Annual pricing may be expressed as an equivalent monthly amount while being charged for the applicable annual billing period.
7. Payment and Merchant of Record
Payments for Projects Library are processed through Creem, which acts as Merchant of Record for applicable transactions.
Creem may handle payment collection, payment methods, invoicing, applicable taxes and payment-related administration in accordance with its applicable terms.
EU Systems does not require customers to provide complete payment-card information directly to Projects Library for subscription checkout.
8. Cancellation and Refunds
Customers may cancel a paid subscription to prevent future renewal.
Unless a refund or other applicable event ends entitlement earlier, cancellation does not normally remove access before the end of the already-paid billing period.
Our voluntary refund arrangements are described in the Refund & Cancellation Policy.
We currently provide a 15-day money-back guarantee on the first eligible paid subscription purchase, subject to that policy and without limiting any mandatory statutory rights.
9. Your Content
You retain ownership of Workspace Content that you or your authorised Users submit, upload or store through the Service.
EU Systems does not acquire ownership of Workspace Content merely because it is stored or processed through Projects Library.
You grant EU Systems the limited rights necessary to host, process, transmit, secure, back up, display and otherwise handle Workspace Content as required to provide, maintain and support the Service, comply with your instructions and meet applicable legal obligations.
You are responsible for ensuring you have the rights and authority necessary to provide and process Workspace Content.
10. Information About Other People
Projects Library may allow you to store information about people who do not themselves have accounts, including Resources, contacts, clients, suppliers, family members or other project participants.
You are responsible for determining whether you have a lawful basis and appropriate authority to collect, store, use and share such information.
11. Documents, Attachments and Search
The Service allows supported documents and attachments to be stored in private cloud storage.
Access controls are used to restrict access to authorised users, and files may be made available through temporary signed links.
Supported documents may have text extracted and indexed to support search. Not all file formats can be text-extracted and scanned/image-only documents may not be searchable.
A temporary signed link can potentially be forwarded while it remains valid. Users should therefore share downloaded or linked material responsibly.
Supported file types and size limits may apply for security and operational reasons.
12. The Vault
The Vault provides additional encrypted storage and controlled access for appropriate project-related credentials and secrets.
The Vault is not a zero-knowledge or end-to-end encrypted service. Decryption occurs as part of server-side Service processing when authorised access is requested.
EU Systems does not routinely access Vault contents, and the ordinary platform-administration interface does not provide a general facility for browsing Customer Workspace Content.
No internet-connected system can guarantee absolute security.
13. Vault Access and Administration
Vault items may be shared with authorised Workspace Users.
Workspace Administrators have recovery capabilities associated with the Workspace Vault. These capabilities can allow an Administrator to recover and access Vault items within the Workspace and assist with Vault recovery.
Users should therefore not assume that information placed in a shared Workspace Vault is inaccessible to authorised Workspace Administrators.
Revoking access within Projects Library does not prevent a person from retaining information they legitimately viewed before access was revoked. Where a credential may have been exposed, it should be changed at the issuing service where appropriate.
14. Safe Storage of Credentials
The Vault should not be used as the sole backup or recovery mechanism for critical credentials.
You must not intentionally use Projects Library to store complete payment-card numbers, card security codes, banking PINs, online-banking authentication credentials or equivalent information capable of directly authorising access to a financial account or payment instrument.
Where useful for identifying a payment card associated with a subscription record, the last four digits may be stored.
For API keys and similar credentials, users should use security controls offered by the issuing provider where available, including least privilege, domain/IP restrictions, usage or spending limits, rotation and revocation.
15. Collections and Guest Access
Collections may be shared with signed-in Workspace Users and, where enabled by a Workspace Administrator, with guests who do not have Projects Library accounts.
Guest Access may use a password and optional access dates. Workspace Administrators control whether Guest Access and guest editing are permitted.
Guest links and passwords can potentially be forwarded to other people. Password protection reduces risk but does not verify the identity of the person using the link.
Customers are responsible for deciding whether particular information is suitable for Guest Access.
Where guest editing is enabled, a guest may modify relevant Workspace information without signing into a named Projects Library account.
16. AI Chat Analysis
Chat Analysis allows Users to submit conversation text for AI-assisted analysis, including identification of potential decisions, tasks, risks, opportunities, documents and links.
AI-generated results may be inaccurate, incomplete or misleading. Users must review results before relying on them or incorporating them into project records.
Users must have the right to submit information for AI processing.

17. AI-Assisted Search
The Service may use AI-generated embeddings to support search and retrieval of Workspace information.
AI-assisted search may fail to identify relevant information and should not be treated as proof that information does or does not exist within a Workspace.
18. Acceptable Use
You must use the Service lawfully and responsibly.
You must not use Projects Library to distribute malware, gain unauthorised access, interfere with systems, circumvent security or plan controls, infringe third-party rights, conduct fraudulent activity or otherwise misuse the Service.
Further requirements are contained in the Acceptable Use & Security Policy, which forms part of these Terms.
19. Cancellation, Expiry, Export and Data Deletion
Following expiry of a free trial without upgrade, or after paid subscription entitlement ends, the Workspace will ordinarily enter a 30-day read-only period.
During this period, authorised Users may view and download Workspace information and use available export functionality. The Customer may also upgrade or reactivate where available.
Normal creation and editing are restricted during the read-only period.
After the 30-day period, Workspace Content may be scheduled for deletion from active systems.
Information may remain temporarily in backups, disaster-recovery systems or records that must be retained for legal or security reasons until removed through applicable retention and backup-rotation processes.
Customers are responsible for exporting information they wish to retain before the applicable access period ends.
20. Suspension and Termination
We may suspend or terminate access where reasonably necessary because of:
- material breach of these Terms;
- unlawful or fraudulent activity;
- security threats;
- harmful use of the Service;
- non-payment where applicable;
- legal requirements; or
- serious or repeated violations of applicable policies.
Where reasonably practicable, we will provide notice and an opportunity to resolve a remediable issue.
Immediate action may be taken where necessary to address an urgent security risk, unlawful activity or potential harm.
21. Service Availability and Changes
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability.
Availability may be affected by maintenance, infrastructure failures, third-party providers, security incidents, internet conditions and other circumstances.
We may update or modify the Service as it develops. We will not deliberately remove material prepaid functionality without reasonable justification, subject to applicable law.
22. Third-Party Services
Projects Library depends on third-party infrastructure and services.
These may include hosting, database, authentication, storage, email, AI and payment providers.
Third-party availability and behaviour can affect the Service. EU Systems is not responsible for independent third-party services outside its reasonable control, although this does not affect obligations that cannot lawfully be excluded.
23. Intellectual Property
EU Systems and its licensors retain all rights in Projects Library, including the software, interface, branding and other materials supplied as part of the Service, excluding Customer-owned Workspace Content.
These Terms do not transfer ownership of EU Systems intellectual property to the Customer.
You may not copy, reverse engineer, resell or exploit the Service except where expressly permitted by law or agreed in writing.
24. No Guarantee of Absolute Security
EU Systems uses technical and organisational measures intended to protect the Service and customer information.
However, no internet-connected service can guarantee complete security.
Customers and Users remain responsible for appropriate account security, endpoint security, credential management, sharing decisions and independent recovery arrangements where appropriate.
25. Disclaimer and Limitation of Liability
To the maximum extent permitted by law, the Service is provided without guarantees that it will be uninterrupted, error-free or suitable for every specialised purpose.
For business Customers, EU Systems will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings or loss arising from decisions made solely in reliance on AI-generated information, except where such liability cannot lawfully be excluded or limited.
Any aggregate contractual liability limitation applicable to a paid subscription will be interpreted subject to liabilities that cannot lawfully be excluded or limited.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
26. Consumer Rights
If you use Projects Library as a consumer, you may have mandatory rights under consumer-protection law.
Nothing in these Terms excludes, restricts or replaces rights or remedies that cannot lawfully be excluded or restricted.
Where these Terms conflict with mandatory consumer law applicable to you, that mandatory law prevails to the extent required.
27. Privacy and Data Protection
Our Privacy Policy explains how EU Systems processes personal data.
Where EU Systems processes Customer-controlled personal data as a processor on behalf of a business Customer, the Data Processing Agreement may also apply.
Customers remain responsible for their own compliance obligations where they determine the purposes and means of processing Workspace Content.
28. Changes to These Terms
We may update these Terms to reflect changes in the Service, law, security requirements, providers or commercial arrangements.
Where a change is material, we will provide reasonable notice where appropriate.
Changes will not retrospectively alter an already-paid billing period in a manner prohibited by applicable law.
The current version and revision date will be published on myprojectslibrary.com.
29. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any mandatory consumer rights that entitle a consumer to bring proceedings or rely on protections in another jurisdiction.
